8. Indemnification

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts of Delaware.
11. Miscellaneous
If any provision is found unenforceable, the remaining terms remain valid. Failure to enforce any term is not a waiver of our rights. This Agreement is the entire agreement between you and EMPEL® regarding use of the Site.
